What happened

The SEC Division of Corporation Finance issued no-action responses addressing programs proposed by Tesla and Goldman Sachs. The Tesla response is framed so that other issuers operating consistently with its represented facts may rely on the same staff position.

What changes

The Tesla framework permits enrollment outside a specific shareholder meeting, enrollment across multiple accounts, continuing enrollment after a temporary exit from the stock, and centralized “hubs” through which investors may enroll in programs offered by multiple issuers. Goldman’s company-specific program adds tailored outreach and enrollment mechanisms for current and former employees and partners.

Why it matters

The letters reduce the need for every issuer to obtain separate relief before adopting the model. They also shift the implementation question toward intermediaries, enrollment design, disclosure and the safeguards surrounding persistent board-aligned instructions.
